Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the identity verification platform, dashboard, APIs and related services (collectively, the “Service”) operated by OKIAS (SMC-Pvt) Ltd. By creating an account or using the Service you agree to these Terms.

This document is provided for transparency. For the binding, counter-signed agreement (including any negotiated enterprise terms, MSA or order form), contact support@okias.io.

1. Agreement to terms

In plain English

Using OKIAS means you accept these Terms. If you are signing up for a company, you confirm you are allowed to bind that company.

These Terms form a legal agreement between you and OKIAS (SMC-Pvt) Ltd, a private limited company incorporated in Pakistan (Reg No. H489273, ICN 0308002) with its registered office at Lane No 1, Bank Street, Husaini Chowk, Bahawalpur, Punjab 63100, Pakistan (“OKIAS”, “we”, “us”). If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • “Customer” — the person or organisation that holds an OKIAS account.
  • “End User” — an individual whom the Customer submits to the Service for identity verification.
  • “Verification” — a single identity check comprising document verification, liveness and 1:1 face match, plus sanctions screening, returning a decision and reason codes.
  • “Credits” — prepaid units of the Service. One completed Verification consumes one Credit.
  • “Verification Media” — documents, selfies, liveness frames and related inputs submitted for a Verification.
  • “Customer Data” — data the Customer or its End Users submit to, or that is generated by, the Service.

3. The Service

OKIAS provides developer-first, AI-assisted identity verification: document authentication with OCR and checksum validation, active liveness challenges, 1:1 face match, and screening against official government sanctions and watchlists (OFAC, EU, UN and UK), delivered through an API and web dashboard. The Service returns a decision with explainable reason codes.

The Service is decision-support: it assists the Customer in meeting its own compliance obligations. OKIAS is a technology provider and does not act as the Customer’s regulator, money-services business, or a consumer reporting agency. The final decision to onboard, approve, reject or offboard any End User rests solely with the Customer. See our AML / KYC Policy.

4. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your account credentials and API keys, and for all activity under your account. Notify us immediately at security@okias.io of any suspected compromise. OKIAS may perform business verification (KYB) on Customers before or during use of the Service.

5. Credits, billing & payment

In plain English

Credits are prepaid, cost $0.15 each, and never expire. A Verification is charged only when it is approved. Full billing and refund terms are in the Refund / Credits Policy.

The Service is sold on a prepaid, usage basis. One Credit is consumed at $0.15 per Credit, subject to volume bonuses applied at top-up, only when a Verification is approved. Declined Verifications, Verifications that fail on our side (an error), and manual reviews that do not resolve to approved never consume a Credit; the Credit reserved at creation is released back to the Customer’s balance. Credits are payment for OKIAS’s own service; they are not e-money, deposits, or stored value, and OKIAS does not hold customer funds in custody. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on OKIAS’s income. Payments are processed by third-party payment processors; by paying you also agree to the applicable processor’s terms.

6. Acceptable use

You may use the Service only for lawful identity verification and compliance purposes and only where you have a valid legal basis and the necessary consent from each End User. You must not use the Service in, or for persons ordinarily resident in, prohibited or restricted jurisdictions, or in breach of applicable sanctions. Prohibited uses, prohibited jurisdictions (including that OKIAS does not serve Israel (IL)), and screening obligations are described in our AML / KYC Policy, which forms part of these Terms.

You must not

  • Submit an individual’s data without a lawful basis and, where required, their explicit consent.
  • Use the Service to harass, discriminate against, profile, surveil or stalk any person.
  • Submit synthetic, fraudulent, or another person’s identity media except your own bona fide test fixtures.
  • Reverse engineer, resell, or build a competing verification model from the Service or its outputs.
  • Circumvent rate limits, security controls, or geographic restrictions.

7. Customer obligations & End-User consent

You are the controller of your End Users’ personal data and OKIAS is your processor for Verification Media (see Privacy Policy). Before submitting any End User, you must: (a) provide that End User with a compliant privacy notice; (b) obtain any legally required consent, including explicit consent for biometric processing (face match and liveness) where such consent is the applicable legal basis; and (c) ensure you have the right to disclose the data to OKIAS and our sub-processors. You will indemnify OKIAS for claims arising from your failure to do so.

8. Data protection & privacy

Our processing of personal data is described in the Privacy Policy. Where you act as a data controller and OKIAS as processor, a Data Processing Agreement (DPA) incorporating standard contractual clauses for international transfers is available and, once executed, governs that processing. OKIAS maintains SOC 2-aligned controls, encryption of extracted PII at rest and in transit, and least-privilege access.

9. Service levels & support

We aim for high availability and provide standard support to all Customers via support@okias.io. Contractual uptime commitments, priority support and dedicated infrastructure are available under enterprise agreements. Except where a signed SLA states otherwise, the Service is provided without a guaranteed service level.

10. Intellectual property

OKIAS and its licensors own all rights in the Service, including software, models, documentation and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. You retain all rights in Customer Data. You grant OKIAS a limited licence to process Customer Data solely to provide, secure and support the Service, and to produce aggregated, de-identified statistics that do not identify you or any End User.

11. Third-party services

The Service relies on third parties, including an AI provider (Google Gemini) used to process Verification Media into a decision, payment processors, and official sanctions-list sources. Their availability and terms are outside OKIAS’s control. A current list of sub-processors appears in our Privacy Policy.

12. Warranties & disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, OKIAS disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. OKIAS does not warrant that any Verification decision is error-free or that the Service will detect every instance of fraud, forgery or impersonation; identity verification is probabilistic and is one control among the Customer’s broader compliance programme.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. OKIAS’s total aggregate liability arising out of or related to the Service will not exceed the amounts you paid to OKIAS for the Service in the three (3) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.

14. Indemnification

You will defend and indemnify OKIAS against third-party claims arising from your use of the Service in breach of these Terms, your Customer Data, or your failure to obtain a valid legal basis or End-User consent.

15. Term, suspension & termination

These Terms apply while you use the Service. Either party may terminate for convenience on notice; you may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms or the AML / KYC Policy, create risk to the Service or other users, or fail to pay. On termination, your right to use the Service ends; provisions that by nature survive (including fees accrued, IP, disclaimers, liability limits and indemnities) will survive. Data handling on termination follows the Privacy Policy and any executed DPA.

16. Changes to the Service or Terms

We may update the Service and these Terms. For material changes we will give reasonable notice (for example, by email or dashboard notice). Continued use after changes take effect constitutes acceptance. The version and effective date are shown at the top of this page.

17. Governing law & disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws rules. The courts of Bahawalpur, Punjab, Pakistan have jurisdiction, unless a signed enterprise agreement specifies arbitration or another forum. Nothing in this section deprives an End User of mandatory consumer protections in their country of residence.

18. Miscellaneous

  • Entire agreement. These Terms, the referenced policies and any order form or MSA are the entire agreement between the parties.
  • Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or successor.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Severability & waiver. If any provision is unenforceable, the rest remains in effect; failure to enforce a right is not a waiver.
